Welcome to Lawvara. These Terms of Service ("Terms") govern your use of the Lawvara website, applications, and services (collectively, the "Services"), which are owned and operated by Information Tech Pexels and Systems Ltd ("IT Pexels"), a company registered under the laws of the Federal Republic of Nigeria.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.

1. Acceptance of Terms

By creating an account, subscribing to a plan, or otherwise accessing the Services, you confirm that you have read, understood, and agreed to these Terms, our Privacy Policy, and any other applicable policies. If you are accepting these Terms on behalf of a law firm, company, or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. Description of Service

Lawvara is a legal technology product that provides AI-assisted legal research (AI Co-Counsel), document drafting, case law indexing, and court transcription services (Stenographer). While Lawvara utilizes advanced artificial intelligence, including proprietary reasoning models, it is not a substitute for professional legal advice. IT Pexels does not practice law, and the use of Lawvara does not create an attorney-client relationship between you and IT Pexels.

3. User Accounts and Responsibilities

• Registration: You must provide accurate, current, and complete information during the registration process and keep your account information updated.
• Security: You are responsible for safeguarding your password and for all activities that occur under your account. You must notify IT Pexels immediately of any unauthorized use of your account.
• Lawful Use: You agree to use the Services only for lawful purposes. You must comply with all applicable local, national, and international laws, including but not limited to the Legal Practitioners Act and the Rules of Professional Conduct for Legal Practitioners in Nigeria.

4. Intellectual Property Rights

All intellectual property rights in the Services, including but not limited to software, algorithms, UI/UX designs, trademarks, and logos (including the "Lawvara" mark), are the exclusive property of IT Pexels. You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your internal professional or personal use, subject to these Terms.

You retain all rights to any documents, briefs, or client data you upload to the Services ("User Content"). By uploading User Content, you grant IT Pexels a necessary license to process such content solely for the purpose of providing the Services to you.

5. Fees and Payment

Certain aspects of the Services are provided for a fee. You agree to pay all applicable fees in connection with your selected subscription plan. Prices are stated in Nigerian Naira (NGN) unless otherwise indicated. IT Pexels reserves the right to change pricing upon reasonable notice.

6. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, IT PEXELS DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. IT PEXELS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL IT PEXELS, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; OR (III) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

8. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the breach thereof shall be finally resolved by arbitration administered by the Lagos Court of Arbitration (LCA) in accordance with its rules. The seat of the arbitration shall be Lagos, Nigeria. The language of the arbitration shall be English.

9. Changes to Terms

IT Pexels reserves the right to modify or replace these Terms at any time. We will provide notice of any material changes by posting the new Terms on the site or via email. Your continued use of the Services following the posting of any changes constitutes acceptance of those changes.
